Terms of Service

Vectora Digital LLC
Effective date: 14 July 2026 Last updated: 14 July 2026

1. Acceptance of the Terms

These Terms of Service (“Terms”) are a legally binding agreement between you (“you” or the “Client”) and Vectora Digital LLC, a Wyoming limited liability company with its registered office at 30 North Gould Street, Ste R, Sheridan, WY 82801, United States (“Vectora Digital”, “we”, “us”, “our”), and govern your access to and use of the website https://vectoradigital.ch/ (the “Site”) and, unless otherwise agreed in writing, our digital marketing, SEO, advertising campaign management, social media management, web design, software development and IT consulting services (collectively, the “Services”).

By accessing or using the Site, you agree to be bound by these Terms, our Privacy Policy and our Cookie Policy. If you do not agree, please do not use the Site or the Services.

If you use the Site or the Services on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, and any reference to “you” refers to that entity.

2. Eligibility

To use the Site and the Services you must be at least 18 years old and able to enter into a binding contract. The Site is intended for business and professional use.

3. Services; separate agreements

Service descriptions on the Site are for information purposes only and do not constitute a binding offer.

Individual engagements are governed by a separate written proposal, statement of work or services agreement (“Services Agreement”) signed by both parties. In the event of a conflict between these Terms and a Services Agreement, the Services Agreement prevails for that engagement.

Services are invoiced as set out in the relevant Services Agreement. Unless otherwise agreed in writing, invoices are due on the terms stated therein, and overdue amounts may accrue interest at the lower of 1.5% per month and the maximum rate permitted by law.

4. No guarantee of results

Digital marketing results depend on many factors beyond our control, including search engine algorithms, advertising platform policies, market conditions, competition and the Client’s business decisions. We do not guarantee any specific result, including but not limited to search engine rankings, traffic levels, lead volumes, conversion rates, revenue or return on ad spend. Any projections, estimates or case studies are illustrative only. See our Disclaimer for more details.

5. Client obligations

When engaging us for the Services, the Client agrees to:

provide accurate, complete and timely information, materials and access (for example advertising accounts, analytics tools, CMS, hosting) reasonably required for performance;
ensure it holds all rights, licences and consents for the materials provided (logos, images, text, data, customer lists);
comply with all laws applicable to its business, including advertising, consumer protection and data protection rules applicable to its own customers;
review and approve deliverables within a reasonable time.

The Client is solely responsible for the legality of its products, services and marketing claims. We reserve the right to refuse or discontinue work we reasonably consider unlawful, misleading or contrary to platform policies (for example Google Ads or Meta advertising policies).

6. Intellectual property

6.1 Our intellectual property

The Site and all its content, including text, graphics, logos, designs, software and layout, are owned by or licensed to Vectora Digital and protected by US and international intellectual property laws. Except as expressly permitted, you may not copy, reproduce, distribute, modify or create derivative works from the Site or its content without our prior written consent.

6.2 Deliverables

Ownership of work created under a Services Agreement is governed by that agreement. Unless otherwise agreed in writing: (a) upon full payment, the final deliverables expressly identified in the Services Agreement are assigned or licensed to the Client as set out therein; (b) we retain ownership of our pre-existing materials, tools, frameworks, know-how and generic components, and grant the Client a non-exclusive licence to use them as incorporated in the deliverables; (c) we may identify the Client by name and display non-confidential work in our portfolio, unless the Client notifies us otherwise in writing.

6.3 Feedback

Any suggestions or feedback about the Site or the Services may be used by us without restriction or compensation.

7. User content (blog comments, chat, submissions)

You may submit comments, messages or other content through the Site (“User Content”).

You retain ownership of your User Content but grant us a worldwide, non-exclusive, royalty-free licence to host, display, reproduce and moderate it in connection with operating the Site.

You agree not to submit User Content that:

is unlawful, defamatory, harassing, discriminatory, obscene or infringes the rights of others;
contains malware, spam or unauthorised advertising;
violates the privacy, image or intellectual property rights of third parties;
impersonates any person or entity.

We reserve the right to remove or reject any User Content at our sole discretion and without notice, and to suspend or terminate access in case of violations.

8. Acceptable use

You agree not to: (a) use the Site for any unlawful purpose; (b) attempt to gain unauthorised access to the Site, servers or networks; (c) interfere with the operation of the Site, including through bots, scrapers or automated tools (except for normal search engine indexing); (d) decompile or reverse-engineer any part of the Site; (e) use the Site to transmit harmful code.

9. Copyright notices (DMCA)

We respect intellectual property rights. If you believe content on the Site infringes your copyright, you may send a notice under the Digital Millennium Copyright Act (17 U.S.C. § 512) to info@vectoradigital.ch with the subject “DMCA Notice”, including: (i) identification of the copyrighted work; (ii) identification of the allegedly infringing material and its location; (iii) your contact details; (iv) a good-faith statement that the use is not authorised; (v) a statement, under penalty of perjury, that the notice is accurate and that you are authorised to act; (vi) your physical or electronic signature. We may remove content and terminate access for repeat infringers.

10. Third-party services and links

The Site and the Services may reference or integrate third-party platforms (for example Google, Meta, hosting providers). We have no control over and are not responsible for third-party services, their availability, content or policies. Your use of third-party services is governed by their respective terms.

11. Disclaimer of warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE OR FREE OF VULNERABILITIES, OR THAT DEFECTS WILL BE CORRECTED.

Some jurisdictions do not allow the exclusion of certain warranties; in those jurisdictions the above exclusions apply to the fullest extent permitted, and consumers in the EEA and the UK retain their mandatory statutory rights.

12. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW:

IN NO EVENT SHALL VECTORA DIGITAL, ITS MEMBERS, MANAGERS, EMPLOYEES OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SITE OR THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES;

OUR TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SITE OR THESE TERMS SHALL NOT EXCEED THE GREATER OF (i) THE AMOUNTS PAID FOR THE SERVICES GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS PRECEDING THE EVENT AND (ii) ONE HUNDRED US DOLLARS (USD 100).

Nothing in these Terms excludes or limits liability for gross negligence, wilful misconduct, fraud, death or personal injury caused by negligence, or any other liability that cannot be excluded under applicable law (including mandatory consumer protections in the EEA and the UK).

13. Indemnification

You agree to defend, indemnify and hold harmless Vectora Digital and its members, managers, employees and agents from any claims, damages, liabilities, costs and expenses (including reasonable legal fees) arising out of or related to: (a) your User Content; (b) your breach of these Terms; (c) your violation of any law or third-party right; (d) materials, data or instructions you provide to us in connection with the Services.

14. Governing law

These Terms, and any dispute arising out of or relating to them or the Site, are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law principles. For consumers resident in the EEA or the UK, this choice of law does not deprive you of the mandatory protections of the law of your country of residence.

15. Dispute resolution; binding arbitration; class action waiver

PLEASE READ THIS SECTION CAREFULLY: IT AFFECTS YOUR RIGHTS.

Informal resolution first. Before starting any proceedings, you agree to contact us at info@vectoradigital.ch and attempt in good faith to resolve the dispute informally for at least 30 days.

Arbitration. Any dispute or claim arising out of or relating to these Terms or the Site that is not resolved informally shall be finally resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules (or Consumer Arbitration Rules where applicable), by a single arbitrator. The seat of arbitration shall be Sheridan County, Wyoming, and proceedings may be conducted remotely by video conference. Judgment on the award may be entered in any court of competent jurisdiction.

Class action waiver. ALL CLAIMS MUST BE BROUGHT IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE PROCEEDING.

Exceptions. Either party may (i) bring an individual claim in the competent small claims court, or (ii) seek injunctive relief in court for infringement or misuse of intellectual property rights or confidential information.

EEA and UK consumers. Consumers resident in the EEA or the UK may bring proceedings before the courts of their place of residence, and mandatory dispute resolution rights are not affected. The European Online Dispute Resolution platform is available at https://ec.europa.eu/consumers/odr.

Opt-out. You may opt out of the arbitration and class action waiver provisions by emailing info@vectoradigital.ch with the subject “Arbitration Opt-Out” within 30 days of first accepting these Terms.

16. Termination

We reserve the right to suspend or terminate access to the Site at any time, with or without notice, for conduct that violates these Terms or is otherwise harmful. Sections that by their nature should survive termination (including Sections 6, 7, 11 to 15 and 18) shall remain in effect.

17. Changes to these Terms

We may modify these Terms at any time. Updated Terms will be posted on this page with a new “Last updated” date. Where reasonably possible, material changes will be highlighted. Continued use of the Site after changes take effect constitutes acceptance of the updated Terms.

18. General provisions

Entire agreement. These Terms, together with the Privacy Policy, the Cookie Policy, the Disclaimer and any applicable Services Agreement, constitute the entire agreement regarding the Site.

Severability. If any provision is found unenforceable, the remaining provisions remain in full force and the provision will be enforced to the fullest extent permitted.

No waiver. Failure to exercise a right does not constitute a waiver of that right.

Assignment. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition or sale of business.

Force majeure. We are not liable for delays or failures due to events beyond our reasonable control.

Notices. Legal notices to us must be sent to info@vectoradigital.ch and to our registered office.
